Terms of Use

1. Introduction

Welcome to Mira Astro. These Terms of Use ("Terms") are a legally binding agreement between you and Mira Holding Inc. ("Mira," "we," "us," or "our") and govern your access to and use of Mira Astro's services, including our website, applications, and other related platforms (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms, our Privacy Policy, and any other applicable policies. If you do not accept all of these terms, do not use the Service.

2. Contracting Entity

These Terms constitute an agreement between you and Mira Holding Inc., a company incorporated in the State of Delaware, with its principal place of business at: Mira Holding Inc., 440 N Wolfe Rd, Sunnyvale, CA 94085, USA.

3. Updates to These Terms

We may modify these Terms from time to time. When changes are made, we will update the "Effective Date." If the changes are material, we may notify you by email or through the Service interface. Continued use of the Service after any update constitutes your acceptance of the modified Terms.

4. Account Eligibility and User Commitments

You may not create an account or use the Service unless all of the following are true, and by using the Service, you represent and warrant that:

• You are an individual at least 18 years of age;
• You are legally able to enter into a binding contract with Mira;
• You are not located in a country that is subject to U.S. Government embargo or listed as a "terrorist supporting" country;
• You are not on any U.S. Government list of prohibited or restricted parties;
• You are not prohibited by law from using our Service;
• You do not have more than one account unless explicitly allowed by Mira;
• You have not been previously removed from the Service unless expressly permitted by Mira.

If at any point you no longer meet these criteria, you must stop using the Service and delete your account. Mira may remove your access without notice if you fail to comply.

You agree to:

• Comply with these Terms and regularly check for updates;
• Follow all applicable laws and regulations;
• Use the most recent version of the Service;
• Take reasonable steps to protect the confidentiality of your login credentials;
• Only submit information about another individual through any feature of the Service when you have all permissions, consents, or other legal authority required to provide and use that information, as described in Section 5 below.

You agree not to:

• Misrepresent your identity or affiliation;
• Use the Service in a way that interferes with, harms, or disrupts the Service or other users;
• Use the Service for illegal or harmful activities, including fraud;
• Share or solicit passwords or private information for unlawful purposes;
• Use another user's account or share your own login credentials;
• Post or submit third-party content or intellectual property without permission;
• Pretend to be endorsed by Mira;
• Use bots or scripts to access or scrape data from the Service;
• Upload viruses, malware, or malicious code;
• Modify or reverse-engineer the Service;
• Create a new account after being suspended or terminated, unless permitted by Mira.

Third-Party AI Policies

AI features available through the Service ("AI Features") may use third-party models and services. Your use of an AI Feature is subject to the then-current usage, acceptable use, safety, and content policies of the applicable provider, as updated from time to time. You are responsible for reviewing and complying with those policies. Mira may restrict, refuse, suspend, or terminate access to any AI Feature as necessary to comply with provider policies or instructions and is not liable for any resulting restriction or unavailability. Mira may add, replace, or remove AI providers or models at any time.

Prohibited Content

You may not submit content (including questions to the AI assistant, entered profile data, or feedback notes) that:

• Is unlawful, harassing, or intended to cause harm;
• Infringes on third-party rights (e.g., copyright, privacy);
• Includes malicious code or spam;
• Attempts to extract Mira's or a third-party AI provider's proprietary systems, prompts, or data through the Service.

Submitting Prohibited Content may lead to suspension or termination of your account without notice.

5. User Content and Intellectual Property

You are solely responsible for any content you submit through the Service, including birth data, AI chat messages, feedback notes, and any other material ("User Content").

a. Your Responsibility and Risk

You represent and warrant that:

• Your User Content is accurate and lawful;
• You have all necessary rights to submit and authorize Mira to use your User Content;
• If you submit information about another individual, including an adult or a minor, through any feature of the Service, you represent and warrant that you have all permissions, consents, or other legal authority required to provide and use that information. You are solely responsible for its lawfulness and accuracy. Mira does not independently verify your relationship with, consent from, or legal authority regarding that individual;
• You will not submit content prohibited under these Terms.

b. License You Grant to Mira

By submitting User Content, you grant Mira a worldwide, non-exclusive, royalty-free license to host, store, process, and use such content solely for the purposes of operating, providing, and improving the Service, including generating calculations and AI interpretations. This license remains in effect even if you stop using the Service, unless required otherwise by law. You retain ownership of your User Content.

c. Mira's Right to Moderate

Mira may, at its sole discretion, monitor, review, remove, or restrict access to any User Content at any time, with or without notice.

d. Mira's Intellectual Property

All trademarks, logos, designs, software, and other content created or owned by Mira ("Mira Content") are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from Mira Content without our prior written consent.

6. Enforcement, Reporting, and Account Termination

Mira is committed to maintaining a safe and trustworthy environment. We reserve the right to investigate and take action against any user who violates these Terms or applicable law, including issuing warnings, suspending access, or permanently terminating accounts.

You can report issues with the Service by contacting us directly. We review all reports and take appropriate action at our sole discretion.

7. Termination and Survival

You may terminate your account at any time via account settings. Simply uninstalling the app or ceasing to use the Service will not automatically delete your account.

Mira reserves the right to suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or created risk or legal exposure for us or other users.

Upon termination, your license to use the Service ends immediately, and sections that by their nature should survive termination (Content and IP, Disclaimers, Limitation of Liability, Dispute Resolution, Governing Law) shall continue to apply.

8. Disclaimers and Limitation of Liability

Mira provides the Service on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI and Astrological Content. The Service provides astrological calculations, interpretations, and responses generated with third-party artificial intelligence models and infrastructure (collectively, "AI Output") for informational and entertainment purposes only. Third-party safety systems may restrict, filter, or refuse certain requests. Mira does not control or guarantee every AI-generated response, and AI Output may be inaccurate, incomplete, inconsistent, offensive, or unexpected.

AI Output and other information made available through the Service do not constitute medical, psychological, legal, financial, or other professional advice and do not create a professional relationship. You should obtain appropriate professional advice and independently verify information before making a significant decision.

User Decisions and Use of Information. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MIRA IS NOT RESPONSIBLE OR LIABLE FOR HOW YOU INTERPRET, RELY ON, OR USE ANY AI OUTPUT, ASTROLOGICAL CALCULATION, INTERPRETATION, OR OTHER INFORMATION MADE AVAILABLE THROUGH THE SERVICE. MIRA SHALL NOT BE LIABLE FOR ANY DECISION, ACTION, OMISSION, LOSS, HARM, OR OTHER CONSEQUENCE ARISING OUT OF OR RELATING TO YOUR RELIANCE ON OR USE OF SUCH INFORMATION. YOU ALONE ARE RESPONSIBLE FOR INDEPENDENTLY EVALUATING THE INFORMATION AND FOR ALL ACTIONS YOU TAKE OR DO NOT TAKE BASED ON IT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free;
• Any defects or errors will be discovered or corrected;
• The results obtained from the use of the Service will be accurate, complete, or reliable.

To the fullest extent permitted by applicable law, Mira, its affiliates, employees, and service providers shall not be liable for any indirect, incidental, consequential, or special damages resulting from your access to or use of the Service, or any unauthorized access to your content or personal information.

To the maximum extent permitted by applicable law, Mira's total aggregate liability to you for all claims relating to the Service will not exceed the greater of: (a) one hundred U.S. dollars (USD $100), or (b) the amount you paid to Mira, if any, for the Service in the twenty-four (24) month period prior to the date you first file a legal claim against Mira.

9. Dispute Resolution and Arbitration

a. Informal Resolution First

If you have a dispute related to the Service, you agree to first contact us at auth@mymira.ai with your name, account email, a brief description of your concern, and the outcome you're seeking. We'll work in good faith to resolve the issue within 30 days.

b. Binding Individual Arbitration

If a dispute remains unresolved, you and Mira agree to resolve it exclusively through binding individual arbitration (except where prohibited by law or where either party may bring an individual claim in small claims court), conducted under the rules of a recognized arbitration provider such as the American Arbitration Association (AAA), taking place in Santa Clara County, California, unless both parties agree otherwise.

c. No Class Actions or Jury Trials

You and Mira waive the right to a jury trial and agree that all disputes must be resolved on an individual basis; no party may bring or participate in any class, collective, or representative action.

d. Governing Law and Venue

These Terms are governed by the laws of the State of California. If a dispute is not subject to arbitration, you agree to the exclusive jurisdiction of courts located in Santa Clara County, California.

10. Purchases, Subscriptions, and Billing

Mira Astro offers a free tier and one or more paid subscription tiers ("Paid Services"), with features and limits as described on our pricing page, which may be updated from time to time. Mira Astro may also offer a free trial period for new users; if you do not subscribe before the trial ends, your account reverts to the free tier. By choosing a Paid Service, you agree to pay all applicable charges.

a. Subscription Terms

• Subscriptions automatically renew unless canceled before the end of the current billing cycle;
• You authorize Mira to charge your payment method on a recurring basis;
• You can cancel at any time via account settings; cancellation takes effect at the end of the current billing period.

b. External Service Purchases

If you purchased a subscription through an external platform (e.g., Apple App Store, Google Play), your billing relationship is with that provider, and their policies apply.

c. Refund Policy

Except where required by law, all payments are non-refundable, including partially used subscription periods.

d. Billing Errors and Disputes

If you believe a charge was made in error, contact us within 30 days of the charge.

11. Entire Agreement

These Terms, along with our Privacy Policy and any other legal notices published by Mira, constitute the entire agreement between you and Mira concerning your use of the Service. If any provision is found invalid or unenforceable, the remaining provisions continue in full force. You may not assign your rights under these Terms without our prior written consent.
